By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority and have given us consent to allow any minor dependents to use this site under your supervision.
You may not use our products for any illegal or unauthorized purpose. You must not violate any laws in your jurisdiction, including copyright laws. You must not transmit worms, viruses, or destructive code. A breach of these Terms may result in immediate termination of your access to the Service.
Section 2 — General Conditions
We reserve the right to refuse service to anyone for any reason at any time.
You understand that your content (not including credit card information) may be transferred unencrypted over networks. Credit card information is tokenized client-side and processed through PCI-compliant third-party payment processors; AminoScaleLabs does not store raw card numbers or CVV/CVC values on our local servers.
You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission from us.
Section 3 — Accuracy, Completeness, and Timeliness of Information
We are not responsible if information on this site is not accurate, complete, or current. Material on this site is provided for general information only. Any reliance on site content is at your own risk.
We reserve the right to modify site contents at any time but have no obligation to update information. You agree it is your responsibility to monitor changes to our site and policies.
Section 4 — Modifications to the Service and Prices
Prices are subject to change without notice. We reserve the right to modify or discontinue the Service at any time without notice. We shall not be liable for any modification, price change, suspension, or discontinuance of the Service.
Section 5 — Products or Services
Certain products may be available exclusively online and in limited quantities. Returns and exchanges are governed exclusively by our Refund Policy. We make reasonable efforts to display product images accurately but cannot guarantee monitor color accuracy.
We reserve the right to limit sales to any person, geographic region, or jurisdiction, and to limit quantities on a case-by-case basis. All product descriptions and pricing are subject to change without notice. Any offer is void where prohibited.
Section 6 — Billing and Account Information
We reserve the right to refuse or cancel any order. We may limit quantities per person, household, or order, including orders using the same account, payment method, or shipping address. If we cancel an order, we may attempt to notify you using contact information provided at checkout.
You agree to provide current, complete, and accurate purchase and account information. You agree to promptly update your account information so we can complete transactions and contact you as needed.
For shipping timelines and delivery terms, see our Shipping Policy. For returns and refunds, see our Refund Policy.
Section 7 — Accuracy of Registration Information and Tax Identifiers
By creating an account, completing registration (including sales organization, sales representative, clinic, provider, or other B2B onboarding), or submitting information through the Service, you represent, warrant, and agree that:
All information you provide — including without limitation your legal name, business name, contact details, addresses, professional credentials (such as NPI or license numbers), payout / banking instructions, and any Social Security Number (SSN), Employer Identification Number (EIN), Individual Taxpayer Identification Number (ITIN), or other tax identifier — is true, accurate, current, and complete.
You are authorized to provide that information, and you will promptly correct any information that becomes inaccurate.
You will not provide false, fabricated, stolen, borrowed, or misleading identifiers, documents, or credentials.
Your sole responsibility. You alone are responsible for the truthfulness of information you submit. AminoScaleLabs does not guarantee, certify, or assume liability for the correctness of any SSN, EIN, ITIN, or other tax or identity information you provide. Any tax reporting we generate (including Form 1099 or similar filings), payment remittance, or identity verification we perform is based on the information you supply.
No AminoScaleLabs liability for your misstatements. To the maximum extent permitted by law, AminoScaleLabs, LLC and its affiliates, officers, directors, employees, and agents shall not be responsible or liable for any fines, penalties, interest, audits, assessments, withholdings, chargebacks, civil claims, criminal investigations, or other losses or consequences arising from incorrect, incomplete, outdated, or misleading information you provide — including a bogus, mismatched, or unauthorized SSN or EIN. Those consequences are solely yours.
Remedies. Providing false or misleading registration or tax information is a material breach of these Terms and a prohibited use of the Service. We may refuse, suspend, or terminate your account; withhold or reverse commissions or payouts; correct or void tax forms based on information we later learn is inaccurate; and pursue available civil remedies. We may also disclose information to tax authorities, payment processors, or law enforcement where we believe disclosure is required or appropriate.
Nothing in this section creates an attorney–client relationship or constitutes tax, legal, or accounting advice. You should consult your own advisors regarding tax identification and reporting obligations.
Section 7A — Commission Payouts and Minimum Transfer Threshold
If you participate in AminoScaleLabs's channel partner, sales organization, or sales representative commission programs, the following payout terms apply in addition to the registration and tax obligations in Section 7.
Minimum transfer threshold. AminoScaleLabs initiates commission payouts once your group's total approved payout for a payment cycle reaches $100 (USD). If your group's combined approved payout for a cycle is below $100, that balance is not forfeited, cancelled, or taken by AminoScaleLabs. Earned commissions remain credited to your account and carry forward to subsequent cycles until the combined balance meets or exceeds the threshold.
Why we hold small balances. This policy helps optimize outbound bank transfers and reduce wire, ACH, and similar transfer fees that would otherwise erode net payout on smaller amounts. Amounts held below the threshold remain your earned commissions until paid.
Payout timing. Approved commissions become eligible for payout according to the clearance, approval, and remittance workflows shown in your portal payout ledger and any payout instructions you provide. AminoScaleLabs may update payout mechanics, cycles, or this minimum threshold with notice as described in Section 23.
Nothing in this section modifies our right to withhold or reverse commissions or payouts where permitted elsewhere in these Terms, including for fraud, chargebacks, policy violations, or inaccurate registration or tax information.
Section 8 — Returns and Refunds (Summary)
The complete Refund Policy is incorporated into these Terms. Key requirements:
Platform account orders (wholesale, clinic, and sales accounts): a 30-day return window from the date of purchase — no returns after 30 days.
Public shop guest orders are not platform accounts. They are final sale once we accept the order for shipment, except for the narrow cases in Section 8A.
Platform account returns only: items must be 100% unopened, undamaged, in original factory packaging with all seals fully intact.
Platform account returns only: a valid Return Merchandise Authorization (RMA) must be requested within 3 days of receiving your order via info@aminoscalelabssusa.com. Items sent without a prior RMA will be rejected.
Platform account returns only: approved returns are subject to a 90% restocking fee per product, deduction of original shipping costs, and customer-paid return shipping.
Section 8A — Public retail guest orders
The public shop at aminoscalelabsusa.com lets a visitor buy without a wholesale, clinic, or sales account. That checkout is a guest purchase. It does not create a platform membership, portal access, net terms, commission rights, or the return terms that apply to account orders.
By checking the acceptance box and placing a guest order, you represent and agree that:
You are 21 years of age or older.
The products are for laboratory research use only. They are not for human or veterinary use.
The name, email, phone, payment method, and ship-to address are yours, current, and accurate. You will not use another person's card, a stolen identity, or an address you do not control.
You checked that the purchase and shipment are allowed where you live and where the package is going. A later claim that the destination was restricted is not a reason for a refund.
Guest orders are final sale once AminoScaleLabs accepts the order for shipment. The 30-day unopened return and RMA process in Section 8 does not apply. The only exceptions are the ones written in the Refund Policy for public retail guests, or a right that applicable law does not let us waive.
You will contact us before filing a payment dispute or chargeback. If we ship to the address you entered, a chargeback for buyer's remorse, an opened product, a delivery the carrier marked complete, or a claim that contradicts these Terms is a breach. We will contest that dispute with this acceptance, the order record, and tracking. We may refuse later orders from the same name, email, card, phone, or address.
We may refuse, hold, or cancel a guest order before the carrier accepts the package, including for suspected fraud, a mismatch between the card and the billing name, unusual quantities, or a restricted destination. Shipping risk and delivery limits are in the Shipping Policy.
Section 9 — Optional Tools
We may provide access to third-party tools over which we have no control. Such tools are provided "as is" without warranties. Your use of optional third-party tools is at your own risk.
Section 10 — Third-Party Links
Third-party links may direct you to unaffiliated websites. We are not responsible for examining or evaluating third-party content or accuracy. Complaints regarding third-party products should be directed to the third party.
Section 11 — User Comments, Feedback, and Submissions
If you send submissions, suggestions, or feedback, you grant us a perpetual, royalty-free license to use, modify, and distribute such materials. You agree your submissions will not violate any third-party rights or contain unlawful, abusive, or malicious content.
Section 12 — Personal Information
Your submission of personal information through the store is governed by our Privacy Policy, including our use of decoupled API infrastructure and client-side payment tokenization.
Section 13 — Data Collection and Usage
In addition to the personal information described in our Privacy Policy, AminoScaleLabs and its affiliated service providers may collect non-personally identifiable, automated operational telemetry in connection with your use of the Service. This section describes that collection and how it is used within our corporate group.
What we collect. We collect non-personally identifiable, automated operational telemetry, including product page view trends, stock availability statuses, general geographic regions (state/country), and generalized purchase metrics (items ordered and transaction values).
How it is used. This data is completely anonymized and aggregated to monitor supply chain velocity, predict inventory demand, and optimize wholesale operations.
Who it is shared with. This anonymous, non-identifiable data is collected and curated by Sentynl, a sister company within our corporate group, on AminoScaleLabs's behalf. Aggregated insights derived from this telemetry may be shared with our parent holding company, MiJory, and its affiliates for corporate analytics, operational forecasting, and statistical market research. No personally identifiable information is included in this shared dataset.
Section 14 — Errors, Inaccuracies, and Omissions
We reserve the right to correct errors, inaccuracies, or omissions and to change or cancel orders if information is inaccurate at any time without prior notice, including after you submit an order.
Section 15 — White-Label / API Channel Responsibility
If you are a Sales Organization, sales manager, or other channel partner that creates API buyers, white-label clinics, or other downstream accounts, or that resells, redistributes, or otherwise makes AminoScaleLabs research materials available to third parties through any integration, storefront, or fulfillment arrangement:
Your responsibility to inform downstream buyers. You are solely responsible for informing each of your buyers, clinics, end users, and integration partners of AminoScaleLabs's Research Use Only (RUO) restrictions, FDA disclosures, age requirements, and prohibited uses — including that products are not for human or veterinary use and are not intended to diagnose, treat, cure, or prevent any disease.
Assumption of channel risk. You assume full responsibility for how your downstream buyers acquire, handle, store, label, market, and use AminoScaleLabs products ordered through your account, API credentials, or white-label channel. AminoScaleLabs does not control, and is not responsible for, your external storefronts, patient communications, clinical workflows, or third-party developer implementations.
No AminoScaleLabs liability for downstream misuse. To the maximum extent permitted by law, AminoScaleLabs shall not be liable for claims, injuries, losses, regulatory actions, or other consequences arising from your failure to disclose RUO risks, or from misuse by your buyers or their customers. You agree to indemnify AminoScaleLabs for such claims under Section 18.
Section 15A — Anti-Impersonation, Ecosystem Rights, and Independent Status
Independent contractor status. Users, affiliates, sales organizations, channel partners, sales representatives, and sub-resellers who access or use the Service are independent contractors only. Nothing in these Terms, in any portal relationship, in any commission or invite structure, or in any course of dealing creates a partnership, joint venture, agency, employment, franchise, or fiduciary relationship between you and AminoScaleLabs or any member of the MiJory Corporate Group (defined below).
MiJory Corporate Group. As used in these Terms, the "MiJory Corporate Group" means AminoScaleLabs, LLC, RxPath, TrakPath, Sentynl, and their parent holding entity, MiJory, LLC, together with each entity's officers, directors, employees, affiliates, successors, and assigns.
Prohibition on false affiliation. You shall not, at any time, directly or indirectly, represent, state, imply, suggest, or hold yourself out — orally, in writing, electronically, or otherwise — as an owner, officer, director, employee, partner, joint venturer, agent, authorized representative, spokesperson, or equity holder of AminoScaleLabs or any other member of the MiJory Corporate Group, nor as having authority to bind, negotiate on behalf of, or speak for any such entity, except where AminoScaleLabs has provided you a specific, written authorization limited to that purpose.
Brand and representation restrictions. Without the prior express written authorization of an officer of MiJory, LLC, you are prohibited from:
printing, distributing, publishing, or displaying physical or digital business cards, letterhead, email signatures, marketing materials, advertisements, social media profiles, websites, mobile applications, or domain names that use, incorporate, imitate, or suggest affiliation with the trademarks, trade names, logos, brand assets, product names, or corporate identity of any member of the MiJory Corporate Group;
registering, operating, or promoting domain names, social handles, or online properties that incorporate or are confusingly similar to any MiJory Corporate Group mark or name;
presenting yourself to third parties — including investors, prospective capital sources, lenders, suppliers, vendors, software developers, clinics, buyers, or other channel partners — as having operational control, management authority, equity ownership, software rights, source-code rights, platform ownership, or corporate control over any portion of the MiJory Corporate Group, its technology stack, codebase, APIs, data, pricing engines, commission systems, or supply chain; or
using AminoScaleLabs or MiJory Corporate Group branding to solicit investment, capital, partnerships, or business opportunities unrelated to your authorized use of the Service.
Remedies. Any breach or threatened breach of this Section 15A constitutes immediate, non-curable material breach of these Terms. Without limiting other remedies, AminoScaleLabs may suspend or terminate your account; revoke API credentials, invite rights, and channel privileges; place you on a platform blacklist; withhold, reverse, or forfeit commissions and payouts as permitted in Sections 7 and 7A; recover damages; and seek injunctive or other equitable relief. You acknowledge that unauthorized impersonation or brand misuse may cause irreparable harm for which monetary damages alone may be inadequate.
Section 15B — Downstream Ethics, Anti-Predatory Practices, and Downline Reassignment
Fair dealing and channel integrity. Channel managers, sales organizations, upstream resellers, and other partners with downstream buyers, sub-affiliates, clinics, providers, or accounts must conduct business in good faith and in compliance with applicable law and commercial ethics standards. The following conduct is strictly prohibited:
bait-and-switch pricing, undisclosed fee shifts, or misrepresentations about AminoScaleLabs pricing, shipping, payment methods, or product availability;
unauthorized fee skimming, hidden surcharges, or off-platform payment demands not expressly authorized by AminoScaleLabs;
fraudulent, deceptive, or unauthorized margin adjustments, discount manipulation, or commission misallocation;
coercion, harassment, threats, retaliation, or pressure tactics directed at downstream accounts to prevent them from contacting AminoScaleLabs or changing channel relationships; or
any other predatory, abusive, fraudulent, or commercially deceptive practice toward downstream accounts in connection with AminoScaleLabs products, pricing, fulfillment, or platform access.
Downstream reporting right. Any downstream buyer, sub-reseller, clinic, provider, or account has the absolute right to contact AminoScaleLabs Compliance at info@aminoscalelabssusa.com to report suspected unethical, abusive, fraudulent, non-compliant, or predatory conduct by an upstream channel manager, sales organization, or reseller. AminoScaleLabs will not retaliate against any party for making a good-faith report.
Investigation and reassignment. AminoScaleLabs reserves the sole and unilateral right to investigate any report, complaint, audit finding, or internal indicator of ethical misconduct, fraud, commercial abuse, or channel-policy violation. If AminoScaleLabs determines, in its reasonable discretion, that an upstream sales organization, channel manager, or reseller has engaged in predatory, deceptive, abusive, or non-compliant conduct toward its downline, AminoScaleLabs may, without prior notice where permitted by law:
suspend, restrict, or terminate the upstream partner's account, credentials, invites, and commission privileges;
withhold, reverse, or forfeit unpaid or disputed commissions and payouts attributable to the misconduct, to the extent permitted by Sections 7 and 7A;
decouple, reassign, or reparent any or all affected downstream accounts directly under a AminoScaleLabs-managed corporate structure, internal organization, or alternate authorized channel partner, in each case as AminoScaleLabs deems necessary to preserve continuous service, standard pricing, supply-chain integrity, and buyer protection; and
take any additional corrective action AminoScaleLabs considers appropriate, including notice to affected parties, preservation of records, and referral to law enforcement or regulators where warranted.
No duty to maintain abusive relationships. Downstream accounts are not required to remain attached to an upstream partner that AminoScaleLabs has suspended or terminated for misconduct. AminoScaleLabs's reassignment decisions are operational and protective in nature and do not create any third-party beneficiary rights beyond what these Terms expressly provide.
Remedies. Violations of this Section 15B constitute material breach of these Terms and may result in the remedies described in Section 15A, including account termination, commission forfeiture or reversal where permitted, and injunctive relief.
Section 16 — Prohibited Uses
In addition to other prohibitions, you may not use the site or its content to:
(a) engage in any unlawful purpose;
(b) solicit others to perform unlawful acts;
(c) violate international, federal, state, or local laws or regulations;
(d) infringe intellectual property rights;
(e) harass, abuse, defame, or discriminate;
(f) submit false or misleading information;
(g) transmit viruses or malicious code;
(h) collect or track personal information of others without consent;
(i) spam, phish, or scrape;
(j) use products for human or veterinary consumption; or
(k) interfere with or circumvent security features of the Service.
We reserve the right to terminate your use of the Service for violating prohibited uses.
Section 17 — Disclaimer of Warranties; Limitation of Liability
We do not guarantee that your use of the Service will be uninterrupted, timely, secure, or error-free. The Service and all products are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
In no case shall AminoScaleLabs, our directors, officers, employees, affiliates, agents, contractors, suppliers, or licensors be liable for any injury, loss, claim, or direct, indirect, incidental, punitive, special, or consequential damages arising from your use of the Service or any products procured through the Service, even if advised of their possibility. Where liability cannot be excluded, our liability is limited to the maximum extent permitted by law.
Section 18 — Indemnification
You agree to indemnify, defend, and hold harmless AminoScaleLabs and our affiliates, partners, officers, directors, agents, contractors, and employees from any claim, demand, loss, liability, penalty, fine, tax assessment, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms (including Section 7 regarding accuracy of registration and tax identifiers; Section 15 regarding white-label / API channel responsibility; Section 15A regarding anti-impersonation and independent status; and Section 15B regarding downstream ethics and channel integrity); (b) any inaccurate, incomplete, outdated, false, or misleading information you provide, including any SSN, EIN, ITIN, or other tax or identity information; (c) our Privacy Policy, Shipping Policy, or Refund Policy; (d) your violation of any law or third-party rights; or (e) claims by your downstream buyers, clinics, patients, end users, or integration partners arising from AminoScaleLabs products obtained through your channel, including failure to communicate Research Use Only (RUO) restrictions.
Section 19 — Severability
If any provision of these Terms is unlawful or unenforceable, that provision shall be enforced to the maximum extent permitted, and the remaining provisions remain in full force.
Section 20 — Termination
These Terms are effective until terminated by you or us. You may terminate by ceasing use of the Service and notifying us. We may terminate access at any time without notice if you fail to comply with these Terms. Obligations incurred before termination survive termination.
Section 21 — Entire Agreement
These Terms, together with the incorporated Privacy Policy, Shipping Policy, and Refund Policy, constitute the entire agreement between you and AminoScaleLabs regarding the Service and supersede prior agreements. Any ambiguities shall not be construed against the drafting party.
Section 22 — Governing Law and Exclusive Venue
These Terms, incorporated policies, and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Idaho, USA, without regard to its conflict-of-law principles.
You explicitly agree that any legal action, suit, proceeding, or dispute arising out of or relating to these Terms, the Service, or your account shall be brought exclusively in the state courts located in Ada County, Idaho, or the United States District Court for the District of Idaho. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any defense of an inconvenient forum.
Section 23 — Changes to Terms of Service
We reserve the right to update these Terms at any time by posting changes on this page. It is your responsibility to review this page periodically. Your continued use of the Service after changes are posted constitutes acceptance of those changes.
